Dividend Policy
Section summary: This section discloses to potential investors whether the company has ever paid dividends to shareholders (including frequency and amount), whether it plans to in the future, and any legal, contractual or other restrictions on the company’s ability to pay dividends. For certain investors, it may be an investment consideration whether they can expect to make dividend income from the stock. However, most companies going public plan to reinvest any retained earnings into growing the business and have not previously paid dividends on their common stock. If there is a security outstanding that accrues dividends (even if no such dividends have been paid out yet), the company should include relevant disclosure in this section and tailor the disclosure to reflect the company’s specific contractual arrangements related to any such dividends.
DIVIDEND POLICY
We have never declared or paid cash dividends on our capital stock. We intend to retain all available funds and future earnings, if any, to fund the development and expansion of our business, and we do not anticipate declaring or paying any cash dividends in the foreseeable future. Any future determination regarding the declaration and payment of dividends, if any, will be at the discretion of our board of directors and will depend on then-existing conditions, including our financial condition, operating results, contractual restrictions, capital requirements, business prospects and other factors our board of directors may deem relevant.
