Form S-1 Interactive Drafting Guide

Market, Industry, and Other Data

Section summary: This section should state that the sources of the statistical data, estimates and forecasts in the prospectus are either from independent industry sources or commissioned/paid for. It should also note that the statistical and market-related data are based on or derived from sources that the company believes to be accurate and reliable.

Common types of statistical data include:

  • Information about the company’s industry or its competitors (e.g., total addressable market, industry or market spend).
  • Operating metrics (e.g., number of products in the market).

If reports are being filed with the SEC, the company must disclose the reports and other information filed.

MARKET, INDUSTRY AND OTHER DATA

This prospectus contains statistical data, estimates and forecasts that are based on independent industry publications or other publicly available information, as well as other information based on our internal sources. In some cases, we do not expressly refer to the sources from which this data is derived. In addition, industry publications, studies and surveys generally state that they have been obtained from sources believed to be reliable, although they do not guarantee the accuracy or completeness of such information. None of the industry publications referred to in this prospectus were prepared on our or on our affiliates’ behalf or at our expense. The industry in which we operate is subject to a high degree of uncertainty and risk due to a variety of factors, including those described in the section titled “Risk Factors,” that could cause results to differ materially from those expressed in these publications and other publicly available information.

The sources of certain statistical data, estimates and forecasts contained in this prospectus are the following independent industry publications or reports:7

  • Not A. Reelsorz, Lazy Susan Flies Like Saucers (Solutions and Deployment), Global Forecast to 2030, December 2023
  • Al-so Faké, IDK Semiannual Question Tracker, IDK Journal, July 2023

Certain monetary amounts, percentages and other figures included elsewhere in this prospectus have been subject to rounding adjustments. Accordingly, figures shown as totals in certain tables or charts may not be the arithmetic aggregation of the figures that precede them, and figures expressed as percentages in the text may not total 100% or, as applicable, when aggregated may not be the arithmetic aggregation of the percentages that precede them.

Notes

7 Do you have all appropriate consents for any third-party sources or publications that are cited in the prospectus? Just because something is publicly available does not mean that you can cite or use it without consent. Review that specific source’s legal disclaimer to see if citations are allowed.
Similarly, consider whether any sources that are cited elsewhere in the prospectus need to be listed in this section as a source. Obtaining consents can be time-consuming. Sources can and often do have comments on the way their data are described in the prospectus before they’ll give consent. Once you identify sources that require third-party consents, we would suggest reaching out to the sources as soon as feasible.
